Ztronica Terms of Service

Welcome, and thank you for using Ztronica. Please read these Terms of Service carefully before downloading, installing, or using Ztronica.

These Terms of Service ("Terms") govern your access to and use of Ztronica, the downloadable AI-powered game creation software, the Ztronica website located at ztronica.com, and any related services, APIs, updates, and documentation (collectively, the "Service"), operated by Ztronica ("Ztronica," "we," "us," or "our").

By downloading, installing, creating an account for, or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, or use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. References to "you" include both you individually and any entity on whose behalf you act.


1. Eligibility

You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that:

(a) you are at least 18 years old;

(b) you have not previously had your access to the Service suspended or terminated by Ztronica;

(c) your use of the Service complies with all applicable laws and regulations in your jurisdiction; and

(d) if you are accepting these Terms on behalf of a company or organization, you have the legal authority to do so.

Ztronica does not knowingly provide the Service to anyone under the age of 18. If we learn that a user is under 18, we will terminate that account without notice.


2. Account Registration

To access most features of the Service, you must create an account. When you register, you agree to:

(a) provide accurate, complete, and current information;

(b) keep your account information up to date;

(c) keep your password secure and confidential; and

(d) accept responsibility for all activity that occurs under your account.

If you believe your account has been compromised, you must notify us immediately at [email protected]. Ztronica is not liable for any loss or damage resulting from your failure to maintain the security of your credentials.

You may not create an account using false information or on behalf of someone else without their permission. You may not transfer your account to any other person. You may not create more than one account per person.


3. The Service

Ztronica is a downloadable AI-powered game development environment. The Service allows you to create 2D and 3D video games using a combination of AI generation and manual editing tools. AI capabilities within the Service may include, but are not limited to, the generation of code, 2D art assets, 3D models, textures, animations, sound effects, music, and voice acting based on your inputs and prompts.

Ztronica is built in part on the Godot Engine, which is licensed under the MIT License. The Godot Engine copyright notice and MIT license terms are included with the Service as required. Ztronica's proprietary AI features, interfaces, systems, and services are separate from and in addition to the Godot Engine components.

Ztronica reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you. Where reasonably practicable, we will provide advance notice of material changes that significantly affect your use of the Service.


4. License to Use the Service

Subject to your compliance with these Terms and payment of any applicable fees, Ztronica grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

(a) download and install one copy of the Ztronica software on a device that you own or control; and

(b) access and use the Service solely for your personal or internal business purposes.

This license does not include the right to:

(i) copy, reproduce, distribute, or publicly display the Service or any part of it, except as expressly permitted;

(ii) modify, adapt, translate, or create derivative works of the Ztronica software or documentation, except to the extent permitted by applicable law or by the open-source licenses applicable to the underlying Godot Engine components;

(iii) reverse engineer, decompile, disassemble, or attempt to extract the source code of any proprietary portion of the Service, except to the extent required by applicable law;

(iv) rent, lease, lend, sell, sublicense, or otherwise transfer the Service or your access to it;

(v) remove, obscure, or alter any proprietary notices, labels, or marks in or on the Service;

(vi) use the Service or any AI-generated outputs to develop a competing AI game creation product or service, or to perform model extraction, distillation, or theft attacks against the AI systems underlying the Service;

(vii) probe, scan, or test the vulnerability of the Service or any related system or network; or

(viii) use the Service in any manner that violates applicable law or these Terms.


5. Credits, Subscriptions, and Payments

5.1 Plans and Pricing

Ztronica offers subscription plans ("Plans"), including a free tier and paid Plans. Current Plan names, monthly prices, included credit allocations, and feature limits are described on the Pricing page at ztronica.com/pricing and within the Service. Before you are charged for a paid Plan, you will have an opportunity to review the applicable fees. All fees are stated in U.S. Dollars unless otherwise indicated.

As of the Last Updated date above, Ztronica generally offers:

  • Free — $0/month, with 0 included AI Credits per billing period (full engine access; AI generation requires a paid Plan);
  • Pro — currently $20/month, with 1,000 Credits per billing period;
  • Pro+ — currently $60/month, with 3,333 Credits per billing period; and
  • Ultra — currently $200/month, with 12,500 Credits per billing period.

Plan names, prices, and included credit amounts may change over time. The Pricing page and checkout flow at the time of purchase control.

5.2 AI Credits — How Usage Is Measured and Charged

What Credits are. "Credits" are the Service's unit of measure for AI usage. One (1) Credit generally represents approximately $0.015 (1.5 cents) of underlying AI provider cost budget (purchasing power). Ztronica converts provider costs (in USD) into Credits and deducts Credits when you use AI features.

What consumes Credits. Credits are consumed by AI-powered features in the Service, including without limitation: chat and agent assistance, code generation and editing assistance, image/audio/music/3D generation, tool-using agent steps, and other inference or generation requests. Different models, tasks, output sizes, reasoning settings, and modalities consume different amounts of Credits.

How Credits are calculated (text / agent usage). For text and agent features, Credit usage is generally derived from measured token usage and the pricing of the model you select, which may include:

  • prompt (input) tokens;
  • completion (output) tokens;
  • cached input tokens (when prompt caching applies); and
  • cache-write tokens (when the provider bills for writing a cache).

Multi-step agent workflows (for example, tool calls across several model steps) may consume Credits for each step. Higher-cost models, longer prompts, longer outputs, and higher reasoning or "thinking" settings generally consume more Credits.

Credit balance display. Your remaining Credits, usage for the current billing period, and related account information (if applicable) are shown in the Service and/or your account area. Displayed balances are estimates based on our metering systems and may be subject to reconciliation, rounding, or short delays.

5.2.1 Monthly Plan Credits vs. Add-on Credits

Ztronica maintains two Credit pools:

(a) Plan Credits (monthly included). Each Plan includes a monthly allocation of Credits that resets at the start of each billing period. Unused Plan Credits do not roll over to the next billing period.

(b) Add-on Credits (purchased). You may purchase additional Credits separately from your Plan ("Add-on Credits"). Add-on Credits do not expire and roll over until used, subject to these Terms and any limits shown in the Service.

Order of consumption. When you use AI features, the Service generally applies Credits in this order:

  1. Plan Credits for the current billing period are used first; then
  2. Add-on Credits are used after Plan Credits for that period are exhausted.

5.2.2 Usage Limits, Blocking, and Hard Cap

When Credits are exhausted. If you have no remaining Plan Credits and no remaining Add-on Credits, AI features that require Credits may be blocked until:

  • your Plan Credits reset at the next billing period,
  • you upgrade your Plan, or
  • you purchase Add-on Credits (if offered).

Hard cap. To help prevent runaway usage, Ztronica may enforce a hard cap on monthly Plan Credit consumption. If your Plan Credit usage exceeds approximately 105% of your included monthly Plan Credit budget for the current billing period, the Service may block further AI usage for that period even if Add-on Credits remain available, until the next billing period reset or until you take action described in the Service (such as upgrading). Hard-cap behavior is described in the Service and may be updated from time to time.

No overage billing without purchase. Unless you separately purchase Add-on Credits or upgrade, Ztronica does not charge your payment method for AI usage beyond your available Credits. When blocked, you must wait for reset, upgrade, or purchase additional Credits to continue.

5.2.3 Team and Shared Add-on Credit Pools

If you use the Service as part of a team or organization, Add-on Credits may be associated with a team owner account and shared among permitted team members. Usage by team members may draw from the team's shared Add-on pool according to settings and entitlements shown in the Service. Plan Credits and team billing rules may vary by Plan; see the Pricing page and in-product account settings.

5.2.4 Credits Are Not Currency

Credits have no cash value, are not legal tender, are non-transferable except as expressly permitted by Ztronica in the Service, and are not redeemable for cash except where required by law. Credits are licenses to use AI features within the Service, not deposits or stored-value instruments.

5.3 Subscription Billing

Subscriptions are billed on a recurring monthly basis beginning on the date you first subscribe ("Subscription Billing Date"). Your subscription will automatically renew for successive monthly periods unless you cancel before the renewal date.

By subscribing, you authorize Ztronica or its third-party payment processor to charge the payment method on file on each Subscription Billing Date and each renewal date for the applicable fees, including any taxes.

You must cancel your subscription at least 24 hours before the renewal date to avoid being charged for the next subscription period. Cancellation takes effect at the end of the current billing period, and your access continues until that date.

5.4 Add-on Credits

Ztronica may offer one-time purchases of additional Credits ("Add-on Credits") through the Service. As of the Last Updated date above, Add-on Credit packs are generally offered at a linear rate of approximately $20 per 1,000 Credits (for example, 1,000 Credits for $20, 2,000 Credits for $40, or 3,000 Credits for $60), subject to change. Available pack sizes and prices are shown at checkout.

Add-on Credits are separate from your Plan's monthly included Credits, do not expire, roll over until used, and are consumed only after Plan Credits for the current billing period are exhausted (except where the hard cap described in Section 5.2.2 applies). Add-on Credits are subject to these Terms and any limits shown in the Service.

5.5 Price Changes

Ztronica reserves the right to change the pricing for the Service at any time. We will provide you with reasonable advance notice of any price changes before they take effect. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

5.6 Delinquent Accounts

If any amount owed by you is overdue, Ztronica may suspend or terminate your access to the Service. Delinquent accounts may be charged collection fees or other incidental charges related to recovery of unpaid amounts.

5.7 Taxes

You are responsible for all taxes, levies, or duties imposed by applicable taxing authorities, excluding taxes based on Ztronica's net income. Ztronica may collect and remit applicable sales or use taxes on your behalf where required by law.

5.8 Refunds

Fees paid are non-refundable except as required by applicable law or as expressly stated in these Terms. If you believe a charge was made in error, contact us at [email protected] within 30 days of the charge.

5.9 Payment Processing

Ztronica uses third-party payment processors to handle payments. By providing payment information, you agree to the terms of the applicable payment processor. Ztronica does not store your full payment card information.


6. User Inputs and AI Outputs

6.1 Your Inputs

"Inputs" means the text, descriptions, files, code, project data, and other content you submit to the Service. You represent and warrant that you have all rights necessary to submit your Inputs and to authorize Ztronica to process them as described in these Terms.

6.2 AI Outputs

"Outputs" means the code, art, audio, animations, models, and other content generated by the Service in response to your Inputs. Ztronica assigns to you all right, title, and interest, if any, that Ztronica holds in and to Outputs generated specifically in response to your Inputs, subject to these Terms.

You acknowledge that:

(a) Outputs are generated by machine learning systems and may contain errors, inaccuracies, or limitations;

(b) Outputs may be similar or identical to content generated for other users, and no rights in Outputs generated for others are granted to you;

(c) Outputs may incorporate or reflect patterns from training data, and Ztronica makes no warranty that Outputs are free from third-party intellectual property claims;

(d) you are solely responsible for reviewing, testing, and validating any Outputs before incorporating them into your projects or distributing them; and

(e) Ztronica does not guarantee that Outputs will be suitable for your specific purpose;

(f) YOU USE AI-GENERATED OUTPUTS AT YOUR OWN RISK. Ztronica IS NOT RESPONSIBLE FOR ANY DAMAGES, LOSSES, OR HARM RESULTING FROM YOUR USE OF AI-GENERATED OUTPUTS, INCLUDING BUT NOT LIMITED TO: DAMAGE TO YOUR EXISTING CODE, PROJECTS, OR PRODUCTS; LEGAL CLAIMS, LAWSUITS, OR REGULATORY ACTION ARISING FROM YOUR USE OF OUTPUTS; INTELLECTUAL PROPERTY INFRINGEMENT; DATA LOSS; SECURITY VULNERABILITIES; OR ANY OTHER FINANCIAL, REPUTATIONAL, OR OPERATIONAL DAMAGES;

(g) AI OUTPUTS MAY BE INCORRECT, INCOMPLETE, HARMFUL, OFFENSIVE, ILLEGAL, OR OTHERWISE INAPPROPRIATE. ALWAYS REVIEW, TEST, AND VERIFY ALL OUTPUTS BEFORE INCORPORATING THEM INTO YOUR PROJECTS OR DISTRIBUTING THEM. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF AI-GENERATED CONTENT COMPLIES WITH ALL APPLICABLE LAWS AND DOES NOT VIOLATE ANY THIRD-PARTY RIGHTS; AND

(h) Ztronica STRONGLY RECOMMENDS THAT YOU USE AI-GENERATED OUTPUTS WITH CAUTION AND MAINTAIN BACKUPS OF YOUR WORK. DO NOT RELY EXCLUSIVELY ON AI-GENERATED CONTENT FOR CRITICAL APPLICATIONS WHERE ERRORS COULD CAUSE SIGNIFICANT HARM.

6.3 Ztronica AI Agent and Automated Actions

The Service includes an AI agent ("Ztronica AI Agent" or the "Agent") that can assist with game development tasks. Depending on your settings and mode, the Agent may propose or perform actions such as reading project files, editing code or scenes, running terminal or shell commands in the editor, invoking tools, starting or testing your project, and generating assets or other Outputs.

You control the Agent. The Agent operates based on your prompts, permissions, and in-product settings (for example, editor mode vs. ask/read-only mode, auto-apply, terminal execution, and output access). You are responsible for configuring these settings appropriately for your project and risk tolerance.

No guarantee of correctness. The Agent is an automated system. It may misunderstand instructions, produce incorrect or incomplete code, delete or overwrite files, introduce bugs or security vulnerabilities, break builds, corrupt projects, execute unintended commands, or take other harmful actions — even when acting in good faith and even if you did not explicitly request the harmful result.

Your review obligation. You are solely responsible for reviewing, testing, validating, and approving all Agent actions and Outputs before relying on them or distributing your game or project. You should maintain version control, backups, and recovery procedures. Ztronica does not guarantee that the Agent will catch its own mistakes.

No liability for Agent errors or project damage. TO THE FULLEST EXTENT PERMITTED BY LAW, ZTRONICA IS NOT LIABLE FOR ANY LOSS, DAMAGE, OR HARM ARISING FROM THE AGENT'S ACTIONS OR OMISSIONS, INCLUDING WITHOUT LIMITATION: CORRUPTION OR LOSS OF YOUR PROJECT, CODE, ASSETS, OR DATA; BUILD FAILURES; SECURITY INCIDENTS; SERVICE OUTAGES IN YOUR GAME; ECONOMIC LOSS; OR ANY OTHER DAMAGE TO YOU OR YOUR BUSINESS RESULTING FROM AGENT-ASSISTED WORK.

End users of your games. If you publish, distribute, sell, or otherwise make available a game or project created or modified with the Service (including with Agent assistance), you are solely responsible for that game and for all interactions with your players and end users. Ztronica is not a party to your relationship with your end users and does not provide warranties or support for your published games. You assume all liability for claims, injuries, losses, or damages asserted by end users or third parties arising from or related to your game or project, including claims related to bugs, crashes, data loss, offensive content, gameplay balance, virtual goods, privacy practices, accessibility, regulatory compliance, or any other aspect of your game — whether or not such issues were caused or contributed to by the Agent or other AI features.

No professional advice. The Agent does not provide legal, security, compliance, medical, or other professional advice. You are solely responsible for ensuring your projects comply with applicable laws and platform policies.

6.4 No Model Training Without Consent

Ztronica will not use your Inputs or Outputs to train AI models, and will not permit third parties to use your Inputs or Outputs for model training, unless:

(i) you have explicitly opted into training use in the Service settings (for example, by enabling "Share Data Mode");

(ii) you have explicitly submitted content to Ztronica as feedback or for review; or

(iii) the content was flagged for safety review, in which case it may be reviewed to improve our ability to detect policy violations.

You can manage your training preferences at any time from the Service settings.

6.5 Feedback

If you provide suggestions, ideas, bug reports, feature requests, or other feedback about the Service ("Feedback"), you grant Ztronica an irrevocable, perpetual, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and incorporate that Feedback into our business, products, and services for any purpose, without compensation or confidentiality obligations. This includes the right to use Feedback to improve, develop, and market the Service and related offerings. Ztronica has no obligation to compensate you for Feedback or to keep it confidential.

6.6 Referral and Affiliate Program

Ztronica may offer a referral and affiliate program from time to time. Program terms, including credit bonuses, commission rates, discount amounts, payout thresholds, and eligibility requirements, are described on the Service and may be updated at our discretion.

By participating, you agree that: (a) referrals must be genuine new users who were not previously registered; (b) self-referrals, duplicate accounts, and fraudulent or abusive activity are prohibited and may result in forfeiture of rewards; (c) credit bonuses and affiliate discounts may each be used only once per recipient; (d) credit bonuses are granted only when a referred user subscribes to a paid plan, subject to monthly limits; (e) affiliate commissions are calculated on qualifying subscription payments for a limited period and are subject to a hold period before payout; (f) commissions may be clawed back on refunds or chargebacks; (g) payouts are made via Stripe Connect and are subject to Stripe payout processing fees (currently 0.25% plus $0.25 per payout), which are deducted from the gross payout so you receive the net amount; (h) you are solely responsible for taxes on amounts you receive; and (i) we may suspend or terminate your participation in the program at any time for violation of these Terms or suspected abuse.


7. Game Projects and Ownership

Games and projects you create using the Service are your property. Ztronica claims no ownership over your game projects, game content, or any creative work you produce using the Service.

Ztronica does not take any royalties, revenue share, or fees from the sale or distribution of games you create. You are free to commercialize, sell, and distribute your games under any license you choose, provided that you remain solely responsible for your games and for all obligations to your end users and third parties, as described in Sections 6.3, 15, and 16.

When distributing games or projects that include the Godot Engine runtime, you must include the Godot Engine copyright notice and MIT license text in your game documentation, credits screen, or accompanying materials, as required by the Godot MIT License. Ztronica's tools include a license attribution helper to assist with this requirement.


8. Prohibited Conduct

By using the Service, you agree not to:

(a) use the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;

(b) use the Service to generate content that is defamatory, obscene, harassing, threatening, or otherwise harmful;

(c) use the Service to generate content that infringes or misappropriates the intellectual property rights of any third party, including copyrighted works, trademarks, and patents;

(d) use the Service to generate content depicting real, identifiable individuals without their consent in a false or harmful manner;

(e) use the Service to generate malware, exploits, harmful code, or content intended to damage computer systems;

(f) attempt to gain unauthorized access to the Service, its backend systems, or other users' accounts;

(g) use automated tools, bots, or scripts to scrape, harvest, or extract data from the Service;

(h) interfere with or disrupt the operation of the Service or its infrastructure;

(i) misrepresent your identity or affiliation to Ztronica or other users;

(j) circumvent, disable, or tamper with security or access control features of the Service;

(k) use Outputs generated by the Service to develop, train, or fine-tune a competing AI model or competing AI game creation tool;

(l) resell, sublicense, or commercially redistribute access to the Service without Ztronica's written permission; or

(m) attempt or assist anyone else in doing any of the above.


9. Third-Party Services and Integrations

The Service may integrate with or link to third-party services, platforms, or tools ("Third-Party Services"), including AI model providers, payment processors, and export platforms. These Third-Party Services are governed by their own terms and privacy policies. Ztronica is not responsible for the operation, availability, or practices of any Third-Party Service.

If you enable a Third-Party Service integration, you authorize Ztronica to exchange data with that service as necessary to provide the integration. Ztronica does not endorse any Third-Party Service by linking to or integrating with it.

Ztronica uses third-party AI model providers to power some generation features. Your Inputs may be transmitted to these providers for the purpose of generating Outputs. We select providers who agree to privacy and data protection standards consistent with our Privacy Policy. Depending on your settings and the specific provider/model used, provider retention and training terms may vary; see our Privacy Policy for details.


10. Privacy and Privacy Mode

Your use of the Service is governed by our Privacy Policy, available at ztronica.com/privacy, which is incorporated into these Terms by reference.

Privacy Mode is a setting within the Service that can change how the assistant operates and how certain data is handled. For example, Privacy Mode may restrict sending additional project context (such as file attachments) and may disable certain tools (such as web search or local execution features) while it is enabled. Privacy Mode and related privacy/training preferences can be managed in the Service settings. Data handling differences are described in our Privacy Policy.


11. Intellectual Property

The Service, excluding the open-source Godot Engine components which are licensed under the MIT License, is owned and operated by Ztronica. All proprietary content, features, systems, interfaces, documentation, and AI infrastructure comprising the Service are the property of Ztronica or its licensors and are protected by copyright, trade secret, and other intellectual property laws.

Nothing in these Terms transfers to you any ownership of Ztronica's intellectual property. The license granted in Section 4 is the full extent of Ztronica's grant of rights to you in the Service.

The Godot Engine components of the Service are licensed under the MIT License. Copyright (c) 2014-present Godot Engine contributors. Copyright (c) 2007-2014 Juan Linietsky, Ariel Manzur. The full text of the MIT License is included with the Ztronica software and available at godotengine.org/license.


12. Copyright Complaints

Ztronica respects intellectual property rights. If you believe that content available through the Service infringes a copyright you own or control, please send a written notice to [email protected] that includes:

(a) an electronic or physical signature of the person authorized to act on behalf of the copyright owner;

(b) a description of the copyrighted work you claim has been infringed;

(c) a description of where the allegedly infringing material is located within the Service;

(d) your name, address, telephone number, and email address;

(e) a statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; and

(f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Ztronica will investigate valid notices and may remove or disable access to allegedly infringing content at its discretion. Repeat infringers may have their accounts terminated.


13. Term and Termination

These Terms are effective when you first access the Service and continue until terminated.

Your access to the Service will terminate automatically if you violate any provision of these Terms. Ztronica may also suspend or terminate your account and access to the Service at any time, for any reason or no reason, with or without notice. If Ztronica terminates your account without cause, and you have a paid subscription, Ztronica will refund you on a pro-rata basis for any prepaid fees covering the period after termination. If your account is terminated due to a violation of these Terms, no refund will be provided.

You may terminate your account and these Terms at any time by canceling your subscription through the account settings and stopping your use of the Service.

Upon termination:

(a) your license to use the Service ends immediately;

(b) Ztronica may delete your account data, subject to our Privacy Policy and data retention practices;

(c) provisions of these Terms that by their nature should survive termination will survive, including Sections 6, 7, 11, 14, 15, 16, and 17.


14. Disclaimer of Warranties

THE SERVICE, THE ZTRONICA AI AGENT, AI OUTPUTS, AND ALL RELATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZTRONICA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

(a) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT;

(b) ANY WARRANTY THAT THE SERVICE OR AGENT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS;

(c) ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF AI-GENERATED OUTPUTS OR AGENT ACTIONS; AND

(d) ANY WARRANTY THAT THE AGENT WILL PERFORM TASKS CORRECTLY, PRESERVE YOUR PROJECT DATA, OR PRODUCE GAME CONTENT SAFE OR SUITABLE FOR END USERS.

YOU ACKNOWLEDGE THAT AI-GENERATED OUTPUTS AND AGENT ACTIONS ARE PRODUCED BY AUTOMATED SYSTEMS AND MAY CONTAIN ERRORS, INACCURACIES, DESTRUCTIVE CHANGES, OR CONTENT THAT IS NOT APPROPRIATE FOR YOUR USE CASE OR FOR DISTRIBUTION TO PLAYERS. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VALIDATING ANY OUTPUTS AND AGENT ACTIONS BEFORE USE, PUBLICATION, OR DISTRIBUTION.


15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

(a) IN NO EVENT WILL ZTRONICA, ITS OPERATORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PROJECT CORRUPTION, GAME DOWNTIME, PLAYER OR END-USER CLAIMS, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE, THE ZTRONICA AI AGENT, OR ANY AI OUTPUTS — INCLUDING DAMAGES ARISING FROM AGENT MISTAKES, INCORRECT CODE, UNINTENDED FILE CHANGES, TERMINAL COMMANDS, OR CONTENT YOU PUBLISH TO END USERS — EVEN IF ZTRONICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;

(b) ZTRONICA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (i) THE TOTAL AMOUNT YOU HAVE PAID TO ZTRONICA IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) $100.

(c) WITHOUT LIMITING THE FOREGOING, ZTRONICA WILL NOT BE LIABLE FOR ANY CLAIMS BROUGHT BY YOUR GAME'S PLAYERS, CUSTOMERS, OR OTHER END USERS, OR BY THIRD PARTIES, ARISING FROM OR RELATED TO GAMES OR PROJECTS YOU CREATE, MODIFY, OR DISTRIBUTE USING THE SERVICE.

These limitations are fundamental elements of the basis of the bargain between you and Ztronica. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.


16. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Ztronica and its operators, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

(a) your access to or use of the Service in violation of these Terms;

(b) your Inputs or any content you submit through the Service;

(c) your violation of any applicable law, regulation, or third-party right;

(d) any claim that your game or project created using the Service infringes a third party's intellectual property or other rights;

(e) any claim by your players, customers, end users, or other third parties arising from or related to a game or project you created, modified, published, or distributed using the Service — including claims related to bugs, crashes, data loss, harmful or offensive content, gameplay, virtual goods, privacy, security, or regulatory compliance — whether or not such issues were caused or contributed to by the Ztronica AI Agent or other AI features; or

(f) your failure to adequately review, test, or validate Agent actions or Outputs before publication or distribution.

Ztronica reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Ztronica's defense.


17. Dispute Resolution and Governing Law

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Maine, without regard to its conflict of law principles.

17.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact Ztronica at [email protected] and describe your complaint in reasonable detail. Ztronica will make a good-faith effort to resolve the dispute informally within 30 days of receiving your notice.

17.3 Binding Arbitration

If the dispute is not resolved informally, you and Ztronica agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration, rather than in court. This agreement to arbitrate covers all claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

Arbitration will be administered by a recognized arbitration organization under its consumer arbitration rules, as modified by these Terms. The arbitration will take place in Maine or, at your election, by telephone, video, or documents-only submission.

The arbitrator may award any relief available in a court of law on an individual basis. The arbitrator's decision will be final and binding, subject to limited judicial review.

17.4 No Class Actions

YOU AND Ztronica EACH AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If a court or arbitrator determines that the class action waiver in this section is unenforceable, the entirety of the arbitration agreement will be null and void, and the dispute will be resolved in a court of competent jurisdiction.

17.5 Opt-Out

You may opt out of the arbitration agreement within 30 days of creating your account by sending written notice to [email protected] from the email address associated with your account. Your notice must state that you wish to opt out of arbitration. If you opt out, disputes will be resolved as set forth in Section 17.6.

17.6 Jurisdiction

If the arbitration agreement does not apply or is found unenforceable, you and Ztronica submit to the exclusive jurisdiction of the state and federal courts located in Maine for resolution of any dispute.


18. Modifications to These Terms

Ztronica may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and notify you by email or through the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to revised Terms, you must stop using the Service before they take effect.


19. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Ztronica regarding the Service and supersede all prior agreements on that subject.

Assignment. You may not assign or transfer these Terms or any of your rights under them without Ztronica's prior written consent. Ztronica may assign or transfer these Terms and its rights without restriction.

Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No Waiver. Failure by Ztronica to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

No Support Obligation. Ztronica is under no obligation to provide technical support. Where support is offered, it is subject to any published support policies.

Export Compliance. You agree to comply with all applicable export control and sanctions laws and regulations. You may not use the Service if you are located in a country subject to U.S. embargo or are listed on any U.S. government restricted-party list.

Force Majeure. Ztronica is not liable for delays or failures to perform resulting from causes beyond its reasonable control, including natural disasters, acts of government, internet disruptions, power failures, or other similar events.
